HCL succession: Shiv Nadar gifts 47% stake, Roshni Nadar Malhotra takes majority control

After moving Malhotra will become a majoritarian shareholder and will receive control by two entities by the Stock Exchange of HCltech and HCl Infosystems Ltd.

As part of the transfer, he will receive voting control over 12.94% of the shares of Vama Delhi and 49.94% of HCL Corp. at HCl Infosystems. At HCltech, he will take 44.17% of the share of the share of Vkhllor corps for an additional 0.17%.

The transfer was formulated through the actions of two gifts, which were made on March 6, 2025, ensuring the continuity of the property ownership of the Narar Family. “Gifts have been done in accordance with a private family agreement, which aimed to bypass the sequence, ensuring stability and control by the Nadar Family,” the statement said.

India’s capital markets regulator, Indian capital markets, exchange and exchange (SEBI), have granted dismissal of open proposal.

Before this transfer, Shiv Nadar spent 51% stake as Vama Delhi and HCl Corp, and Malhotra belonged to 10.33%.

Malhotra, located in North-Western University and Kellogy School of Management MBA is the President of July 2020 in October.
